## Description

Blue Sky Utility/ Nofar USA, a renewable energy development and operations company focused on large-scale solar and energy storage, is seeking a Director of Mergers & Acquisitions.

The Role 

We're looking for an experienced Director of M&A to lead the sourcing, evaluation, structuring, and execution of renewable energy, battery storage and or thermal energy acquisitions across the U.S. You'll work closely with Development, Finance, and Legal to underwrite deals, build and review financial models, and drive transactions from origination, initial diligence through to closing. **This is a high-visibility, hybrid role based out of our Fort Lauderdale office, on a lean, fast-moving team.** 

What You'll Do 

-   Lead and/or assist the origination and negotiation of M&A opportunities.  

-   Lead the build and review of detailed financial models for solar and BESS acquisitions, including project-level and portfolio-level returns. 

-   Own due diligence workstreams on acquisition targets — reviewing interconnection agreements, PPAs/offtake structures, EPC contracts, permits, land rights, and title, and flagging risks to leadership 

-   Evaluate and help structure special-situation and off-market opportunities, including assets sourced through Chapter 11 and other court-supervised processes 

-   Prepare and present investment memos, valuation summaries, and board-level materials to support go/no-go decisions 

-   Structure and analyze capital stacks involving tax equity, ITC transferability, project debt, and back-leverage facilities 

-   Track and benchmark market comparables (recent transactions, pricing, market multiples) across ERCOT, NYISO, ISO-NE, SERC, and additional US markets.  

-   Directly support negotiations by modeling deal scenarios, sensitivities, and purchase price adjustments, and by liaising with counterparties on deal terms 

-   Coordinate with internal Development, Finance, Accounting, Legal, and Asset Management teams, as well as external counsel, lenders, tax equity investors, and advisors, throughout the transaction lifecycle 

-   Maintain and prioritize a pipeline of acquisition opportunities, counterparties, and deal status

## Requirements

What You'll Bring 

-   5-10 years of experience in renewable energy M&A from investment banking, private equity, infrastructure investing, IPPs, developers, or consulting.  

-   Advanced financial modeling skills (good command Excel; deep experience building and stress-testing project finance models from scratch) 

-   Solid working knowledge of renewable energy transaction structures — PPAs, interconnection, tax equity, ITC/PTC, and project-level debt 

-   Track record of owning diligence workstreams independently and synthesizing complex materials (contracts, permits, engineering reports) into clear, decision-ready recommendations 

-   Direct experience in deal negotiations and interfacing with counterparties, lenders, and advisors 

-   Comfort operating with ambiguity and competing deadlines in a fast-paced, entrepreneurial environment 

-   Excellent written and verbal communication skills, with experience preparing and presenting investment committee or board-level materials 

-   Bachelor's degree in Finance, Economics, Business Admin, or a related field (Law degree -advantage) 

-   High attention to detail and strong organizational skills; ability to manage multiple live deals simultaneously and prioritize under pressure.
