**Per Diem Business / Corporate Transactional Attorney (Remote – Manhattan-Based)**

A business owner is seeking an experienced Per Diem Business / Corporate Transactional Attorney to assist with reviewing, drafting, revising, and negotiating a variety of business agreements. This is a flexible remote opportunity ideal for an attorney looking for project-based or ongoing per diem legal work.

**Responsibilities Include:**

-   Reviewing, drafting, and revising business agreements and contracts
-   Assisting with corporate transactional matters and general business legal needs
-   Reviewing vendor agreements, service agreements, operating agreements, partnership agreements, NDAs, independent contractor agreements, and other commercial contracts
-   Providing practical legal guidance and issue spotting for a growing business
-   Assisting with negotiations and contract modifications as needed
-   Working directly with the business owner in a professional and responsive manner

**Qualifications:**

-   Licensed and in good standing with the New York State Bar
-   2+ years of experience in corporate/business transactional law
-   Strong experience drafting and negotiating agreements
-   Experience with mergers and acquisitions, private equity transactions, joint ventures, and corporate governance matters is a plus
-   Ability to manage matters from review and due diligence through drafting and closing
-   Excellent attention to detail and strong organizational skills
-   Strong written and verbal communication skills
-   Ability to work independently and meet deadlines in a remote environment
