## Description

The **Head of Legal and Company Secretary** at Access Bank PLC will oversee all aspects of legal compliance, governance, and corporate secretarial functions. This critical leadership role requires a proactive individual to ensure adherence to regulatory frameworks and support the bank's strategic objectives through comprehensive legal advice and risk management.

Key Responsibilities:

-   Provide expert legal guidance to the bank’s executive management and board on corporate governance, compliance, and regulatory matters.
-   Lead the legal department in managing legal risks associated with the bank's operations, including contract negotiations, dispute resolution, and litigation management.
-   Ensure compliance with all relevant laws and regulations governing the banking industry and the organization’s internal policies and procedures.
-   Oversee the preparation of board and committee meeting materials, minutes, and corporate governance documentation.
-   Manage the bank's corporate secretarial function, including compliance with statutory obligations and maintenance of corporate records.
-   Act as a key liaison with regulatory authorities and external legal counsel.
-   Review and draft various legal documents, contracts, and policies to mitigate legal risks.
-   Conduct legal research and stay updated on changes in laws and regulations that may impact the bank’s operations.

## Requirements

• Bachelor’s degree in Law (LLB), and a Master’s degree or relevant professional qualification is an advantage.

• Minimum of 10 years of experience in legal practice, with at least 5 years in a leadership role within the banking or financial services sector.

• Strong understanding of banking and corporate governance laws, regulations, and best practices.

• Proven experience in managing legal risks and providing sound legal advice to executive management and boards.

• Excellent analytical and problem-solving skills, with the ability to navigate complex legal issues.

• Strong communication and interpersonal skills, with an ability to influence and engage stakeholders effectively.

• High level of integrity, professionalism, and confidentiality.

• Ability to lead and mentor a team of legal professionals.
