## Description

The Legal Counsel will be Intellect’s key in-house legal partner, supporting the company across its commercial, corporate, regulatory, and broader business needs as we continue to scale globally.

Commercial contracting will sit at the core of the role. You will work closely with our revenue and business teams on enterprise customer contracts, partnerships, tenders, and other commercial arrangements, helping Intellect move quickly while ensuring appropriate legal and commercial protections.

Beyond commercial matters, this is a broad and highly cross-functional role. You will partner closely with teams across the company on areas including new market expansion, product and privacy, corporate and strategic matters, people-related issues, and other legal questions that arise as the business grows.

We are looking for a pragmatic, commercially minded lawyer who combines strong legal judgement with an understanding of how businesses operate. You should be comfortable navigating ambiguity, distinguishing material risks from theoretical ones, and finding practical solutions rather than simply identifying legal issues.

As Intellect’s primary in-house legal counsel, you will have significant ownership and autonomy while working with external counsel and specialist advisors where appropriate.

**Your Responsibilities:**

-   **Commercial & Contracting**

-   Own the drafting, review, negotiation, and execution of a broad range of commercial agreements, including enterprise customer agreements, MSAs, DPAs, NDAs, partnership agreements, vendor agreements, and other commercial arrangements
-   Partner closely with Sales, Client Success, Partnerships, and other commercial teams to support enterprise deals, RFPs and tenders, procurement processes, and complex contract negotiations
-   Provide practical legal and commercial guidance that enables teams to move quickly while appropriately managing risk
-   Develop and improve contracting playbooks, templates, processes, and negotiation positions to increase the speed and scalability of commercial legal support
-   Support senior stakeholders on complex or strategically important commercial negotiations

-   **Global Expansion & Regulatory**

-   Support Intellect’s continued international expansion, including legal and regulatory assessments for new markets, business models, products, and partnerships
-   Work with internal stakeholders and local counsel to navigate market-entry considerations including corporate structures, healthcare regulations, contracting requirements, privacy, employment, and other applicable regulations
-   Identify material legal and regulatory risks and develop pragmatic approaches that allow the business to achieve its objectives while maintaining appropriate protections
-   Monitor relevant regulatory developments across Intellect’s key markets and advise the business on their implications

-   **Product, Privacy & Data**

-   Partner closely with Product, Clinical, Technology, Security, and Operations teams on legal and regulatory considerations relating to Intellect’s products and services
-   Advise on privacy, data protection, data processing and transfers, consent requirements, terms of service, and other product-related legal matters
-   Support the development and review of policies, protocols, and product practices across Intellect’s digital, clinical, and AI-enabled offerings
-   Assess legal implications of new products, features, and business models and recommend practical approaches to enable responsible innovation and launch

-   **People & General Legal Support**

-   Partner with the People team on employment-related legal matters, policies, employee relations issues, and other people matters across Intellect’s markets
-   Support the business on disputes, claims, and other legal matters as they arise, coordinating specialist external counsel where appropriate
-   Develop practical legal guidance, policies, training, and processes that improve legal awareness and decision-making across the company
-   Act as a trusted legal partner across the organisation, stepping into new or ambiguous matters where legal judgement and problem-solving are required

-   **Corporate, Strategic & Business Matters**

-   Provide legal support across corporate, governance, and other general company matters as required
-   Support strategic initiatives, transactions, partnerships, and other complex business matters, working with internal stakeholders and external advisors where appropriate
-   Advise the CEO, executive team, Finance, Operations, and other stakeholders on legal considerations relating to strategic initiatives and business decisions
-   Manage relationships with external counsel, company secretaries, and other legal or corporate advisors, ensuring specialist advice is translated into clear and actionable recommendations for the business

## Requirements

-   Strong legal foundation: You are a qualified lawyer, ideally in Singapore, England & Wales, Australia, or another relevant Commonwealth jurisdiction, with approximately 4-7+ years of post-qualification experience

-   Commercially strong: You have significant experience drafting and negotiating commercial agreements and can confidently navigate complex negotiations with enterprise customers, partners, and counterparties
-   Broad and adaptable: You are comfortable operating beyond a narrow legal specialism and can quickly understand unfamiliar legal and business problems
-   Pragmatic and solutions-oriented: You understand that strong in-house legal support is about enabling the business while managing material risk, not eliminating risk altogether
-   Strong judgement: You can distinguish what is genuinely important from what is technically possible, make considered recommendations, and know when specialist external advice or escalation is required
-   Business-minded: You seek to understand the commercial objective behind a legal question and develop solutions that work in practice, not just on paper
-   Independent and hands-on: You are comfortable operating with significant autonomy, owning matters end-to-end, and working directly with senior stakeholders across the company
-   Excellent communicator: You can translate complex legal issues into clear, concise advice for non-legal stakeholders and are a strong drafter and negotiator
-   Fast-moving and organised: You can manage multiple competing priorities, respond effectively to urgent commercial needs, and maintain high standards without becoming a bottleneck
-   Collaborative and low-ego: You build trust across commercial and functional teams and are comfortable working as a partner rather than operating as a gatekeeper
-   Experience in a high-growth technology, healthcare, SaaS, or similarly complex international business is advantageous, but not essential
-   Exposure to data privacy, healthcare regulation, employment, corporate transactions, or international expansion is advantageous, but we do not expect you to be a specialist across every area
