**Role Overview**

Our client is supporting the development of advanced AI systems through expert legal review, research, and evaluation.

We are looking for experienced **M&A attorneys from leading US law firms** to review complex legal scenarios, evaluate transaction structures and deal documentation, and provide high-quality legal feedback for AI training and evaluation. The work focuses on **M&A, private equity, corporate advisory matters, transaction documentation, and related legal reasoning**. No prior AI experience is required.

**CONTRACT: Short-term contractor assignment (1099)**

**LOCATIONS: Remote USA**

**HOURLY RATE: $140 - $400/h**

**NOTES: Active legal licensure and demonstrated expertise in U.S. immigration law are required.**

**Responsibilities**

-   Analyze and annotate **complex M&A and corporate law scenarios**.
-   Conduct legal research related to M&A, private equity, and related corporate matters.
-   Review transaction structures, deal documentation, and legal reasoning for accuracy and realism.
-   Evaluate and refine legal datasets used for AI training and assessment.
-   Provide written feedback on legal issues, transaction mechanics, and documentation.
-   Identify missing considerations, inaccuracies, and weaknesses in legal analysis.
-   Collaborate with multidisciplinary teams to clarify legal nuances and context.
-   Contribute to iterative quality-review and calibration processes.
-   Support the development of evaluation rubrics and legal review standards where required.

## Requirements

-   Juris Doctor (**JD**) from an accredited US law school.
-   Active US bar admission in good standing.
-   Experience practicing **M&A at an Am Law 100 or comparable leading US law firm**.
-   Strong professional experience with M&A transactions and private equity matters.
-   Experience reviewing, drafting, or negotiating complex corporate transaction documents.
-   Strong legal research and analytical skills.
-   Ability to assess transaction structures and explain legal reasoning clearly.
-   Excellent written and spoken **English**.
