### About the Role

We are looking for an **Associate Director – Transaction Services, Financial Services** to join our Transaction Services practice in Gurugram.

This is a senior **Financial Services specialist** role focused on **financial due diligence across buy-side and sell-side transactions**, working alongside Interpath's global deal teams.

You will provide specialist financial services expertise across areas including:

-   Banking and specialty lending
-   Insurance
-   Asset and wealth management
-   Payments and FinTech

This is a senior role within the engagement team rather than an engagement leadership role. You will also play an important part in building the team's Financial Services capability and managing and developing people.

## Requirements

### What You Will Do

-   Act as the senior Financial Services specialist on transaction engagements, working under the direction of the engagement leader.
-   Own the analysis of a target's **earnings, balance sheet, capital and funding position**.
-   Apply Financial Services sector knowledge across relevant business models.
-   Work with actuarial, regulatory and capital specialists and bring their input together into a coherent financial view.
-   Interpret findings and assess implications for **pricing, deal structure, capital, solvency and the sale and purchase agreement**.
-   Identify regulatory approval and change-of-control requirements and consider their impact on transaction timelines.
-   Review the team's work and take responsibility for its accuracy and quality.
-   Line manage Managers and below, including objectives, feedback, appraisals, development and performance management.
-   Build Financial Services capability through technical training, coaching and development of colleagues.
-   Contribute to business development activities including scoping, fee estimation, credentials and proposals.
-   Manage engagement risks including independence, conflicts and documentation requirements.

### What We Are Looking For

-   A qualified accountant – **CA (ICAI), CA (SA), ACA, ACCA or equivalent**.
-   Around **10–15 years post-qualification experience**, including at least **7 years in financial due diligence**, with the majority of this experience focused on Financial Services targets.
-   Working depth in at least **two Financial Services areas**, such as banking and specialty lending, insurance, asset and wealth management, or payments and FinTech.
-   Strong understanding of **IFRS 9 and IFRS 17** and practical understanding of how prudential regulation can impact transactions.
-   Understanding of regulatory approval requirements and the factors regulators consider in Financial Services transactions.
-   Experience owning complex workstreams on Financial Services diligence engagements and reviewing the work of others.
-   Substantive people-management experience, including managing qualified professionals, appraisals, development and performance matters.
-   Experience designing or delivering technical training in Financial Services.
-   Strong written English and credibility with client management and deal partners.
-   Advanced Excel skills and comfort working with large transactional datasets.

### What Would Also Help

-   Experience leading Financial Services diligence engagements end-to-end.
-   Financial Services audit or assurance experience before moving into deals.
-   Experience in non-performing loan portfolio diligence or run-off and legacy book transactions.
-   Experience with UK-regulated entities and the FCA/PRA change-of-control process.
-   Exposure to Indian or South African regulated entities alongside UK and European work.
